These Terms of Service govern your use of the Burline platform and website. By using our services, you agree to these terms. Please read them carefully — they include important provisions about liability, dispute resolution, and how the service may be used.

01Acceptance

These Terms of Service ("Terms") form a binding agreement between you (or the entity you represent) and Burline, Inc. ("Burline," "we," "us," or "our"). By accessing or using burline.com or the Burline platform (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

02The service

Burline provides a KYC and identity decisioning platform that allows financial institutions, fintechs, and other authorized businesses to verify the identity of their applicants and customers, screen against sanctions and watchlists, assess risk, and make onboarding decisions.

The Service is intended for use by businesses, not consumers. Decisioning outputs are provided as inputs to your risk and compliance program — final onboarding decisions, regulatory compliance, and customer relationships remain your responsibility.

03Accounts

To use the Service you must create an account. You agree to provide accurate information, keep credentials secure, and promptly notify us of any unauthorized access. You are responsible for all activity under your account.

04Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law, including financial-services, privacy, sanctions, or anti-discrimination laws.
  • Submit data you do not have the right to submit or the right to have processed by Burline.
  • Use the Service to make decisions that unlawfully discriminate against any person or class.
  • Reverse engineer, decompile, or attempt to derive source code from the Service.
  • Resell or sublicense the Service except as expressly permitted in writing.
  • Interfere with the integrity, security, or performance of the Service.
  • Use the Service to develop a competing product or to benchmark for a competing product.

05Data & processing

You retain all rights in the data you submit to the Service ("Customer Data"). You grant Burline a non-exclusive, worldwide license to host, process, and transmit Customer Data solely as necessary to provide the Service and to comply with legal obligations.

Burline acts as a processor with respect to personal data in Customer Data, processing it on your instructions. Our handling of personal data is described in our Privacy Policy, and where required, governed by a separate Data Processing Addendum.

You are responsible for: (a) the lawfulness of Customer Data and your instructions, (b) providing required notices and obtaining required consents from data subjects, and (c) the decisions you make based on Service outputs.

06Fees & payment

Fees for the Service are described in your order form or the applicable pricing page. Unless stated otherwise, fees are quoted in U.S. dollars and exclude taxes. Invoices are due within thirty (30) days of issuance. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Burline may suspend the Service for non-payment after reasonable notice and an opportunity to cure.

07Intellectual property

The Service, including all software, models, documentation, and trademarks, is owned by Burline or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Feedback you provide may be used by Burline without restriction or compensation. Burline may use aggregated and de-identified data derived from your use of the Service to operate, improve, and develop our products.

08Confidentiality

Each party may disclose confidential information to the other in connection with the Service. The receiving party will protect the confidential information using at least the same care it uses to protect its own confidential information (and no less than reasonable care), and will use it only for purposes consistent with these Terms.

09Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Burline disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

The Service produces probabilistic outputs based on third-party data sources, machine-learning models, and rules you configure. Outputs are not legal advice or guarantees of identity, fraud, or risk. You are solely responsible for your final decisions and your compliance with applicable laws.

10Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenues, lost data, or business interruption, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.

Each party's aggregate liability under these Terms will not exceed the fees paid or payable by you to Burline for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations do not apply to: (a) a party's indemnification obligations, (b) breach of confidentiality, or (c) liability that cannot be limited under applicable law.

11Indemnification

You will defend, indemnify, and hold harmless Burline from and against any third-party claims, damages, and costs (including reasonable legal fees) arising from: (a) Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) decisions you make based on Service outputs.

12Term & termination

These Terms apply for as long as you use the Service. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. Burline may suspend or terminate the Service immediately if continued use poses a security or legal risk.

On termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive, including those relating to intellectual property, confidentiality, disclaimers, limitations of liability, and indemnification.

13Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising under these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

14General

  • Entire agreement. These Terms, together with any order form, DPA, and our Privacy Policy, constitute the entire agreement between the parties regarding the Service.
  • Changes. We may update these Terms from time to time. Material changes will be communicated through our website or directly to customers. Continued use after the changes take effect constitutes acceptance.
  • Assignment. Neither party may assign these Terms without the other's consent, except in connection with a merger, acquisition, or sale of substantially all assets.
  • Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.
  • No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
  • Force majeure. Neither party is liable for failures caused by events beyond its reasonable control.
